Introduction

Welcome to Aicode Academy (hereinafter referred to as "we," "Aicode Academy," "us," or "our"). Aicode Academy is operated by Aicode Studio, a company registered with the Dutch Chamber of Commerce (KVK) under number 89302230.

These Terms of Service ("Terms") govern your access to and use of the Aicode Academy platform, including our website at academy.aicode.studio, online courses, services, and related features. By creating an account, purchasing a course, or using our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree with these Terms, you must not use our platform.

1. Services Provided

Aicode Academy is an online learning platform that provides:

Online Courses: Video-based courses hosted on Vimeo covering various technical and professional topics
Course Progress Tracking: Tools to monitor your learning progress through course materials
Discord Communities: Access to course-specific Discord communities for enrolled students
Downloadable Resources: Digital materials and resources associated with purchased courses
User Dashboard: Personal account area to manage your courses and profile

We do not currently offer:

Completion certificates
Instructor-led live sessions
One-on-one mentorship
Accredited or professionally certified programs

2. Account Registration and Requirements

2.1 Account Creation

Browsing: You may browse course listings without creating an account
Purchase Required: An account is required to purchase courses and access course content
Age Requirement: There is no minimum age requirement, but users under 18 years old should obtain parental consent before creating an account or making purchases
Accurate Information: You must provide accurate, complete, and current information during registration

2.2 Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use at aitor@aicode.studio

Account sharing is strictly prohibited. Each account is for individual use only. Sharing login credentials with others violates these Terms and may result in account termination without refund.

2.3 One Account Per User

Users are not permitted to create or maintain multiple accounts. If we discover duplicate accounts, we reserve the right to merge or terminate accounts at our discretion.

2.4 Account Termination

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

Violation of these Terms
Fraudulent activity or payment disputes
Chargebacks initiated against purchases
Sharing account credentials
Unauthorized distribution of course content
Misconduct in Discord communities
At your request

Upon termination, your right to access courses and services ceases immediately. Terminated accounts are not eligible for refunds.

3. Course Enrollment and Access

3.1 Course Access Model

When you purchase a course, you receive access to that course until it is archived or removed from the platform. This is not lifetime access. Course access continues as long as:

The course remains active on our platform
Your account remains in good standing
You comply with these Terms

3.2 Course Archival and Removal

We reserve the right to archive or remove courses from the platform at any time for any reason, including:

Outdated content
Low enrollment
Business decisions
Legal or regulatory requirements

If we archive a course you have purchased:

You will retain access to the archived course content
We will notify you at least 30 days before archival when possible
You will be provided an opportunity to download available course materials

3.3 Course Content Updates

We may update, modify, or change course content after your purchase. Updates are intended to improve the course and will not reduce the content volume or value you originally purchased. We are not obligated to update courses for new information or technological changes.

3.4 Enrollment Restrictions

One Enrollment Per Course: You cannot enroll in the same course multiple times
Non-Transferable: Course enrollments cannot be transferred, gifted, or sold to other users
No Group Enrollment: We do not currently offer team or group enrollment options
Personal Use Only: Course access is for your personal educational use only

3.5 Course Completion

No Completion Requirements: You may progress through courses at your own pace
No Certificates: We do not issue completion certificates
Progress Tracking: Your progress is tracked and visible in your account dashboard
No Penalties: There are no consequences for not completing a course

4. Payment Terms

4.1 Pricing and Payment Structure

One-Time Purchase: All courses are sold as one-time purchases (not subscriptions)
Payment Processor: All payments are processed securely through Stripe
Accepted Methods: We accept credit and debit cards through Stripe
Currency: Courses are priced in EUR and/or USD. Stripe handles currency conversion
Taxes: Stripe automatically calculates and collects applicable VAT/taxes based on your location

4.2 Pricing Changes

We may change course prices at any time
Price changes do not affect users who have already purchased the course
We may offer promotional discounts and special pricing at our discretion
Promotional pricing, once offered, will be honored for purchases made during the promotion period

4.3 Failed Payments

If a payment fails:

Stripe will automatically retry the payment according to their policies
You have a 1-week grace period to resolve payment issues
Contact support.aicode.studio for assistance with payment problems
Unresolved payment failures may result in access suspension

4.4 No Refunds

All sales are final. We do not offer refunds for course purchases.

Once you complete a purchase and gain access to course content, the sale is final and non-refundable. This policy applies regardless of:

Whether you access or complete the course
Your satisfaction with the course content
Technical difficulties on your end
Change of mind

EU Consumer Rights Notice: Under EU law, you have a 14-day right of withdrawal for digital content. However, by checking the consent box during purchase and immediately accessing the course content, you expressly waive this right of withdrawal as permitted under EU Consumer Rights Directive 2011/83/EU, Article 16(m).

4.5 Chargebacks

Initiating a chargeback or payment dispute for a valid purchase is a violation of these Terms and will result in:

Immediate account termination
Loss of access to all purchased courses
No refund or credit
Possible legal action to recover costs

If you have a legitimate issue with a charge, contact us at aitor@aicode.studio before initiating a chargeback.

5. Intellectual Property Rights

5.1 Ownership of Content

All course content, including but not limited to:

Video lectures and tutorials
Written materials and documentation
Code examples and projects
Graphics, images, and designs
The Aicode Academy platform and branding

...is owned by Aicode Studio and protected by Dutch and international copyright, trademark, and intellectual property laws.

5.2 Limited License to Users

Upon purchasing a course, you are granted a limited, non-exclusive, non-transferable, revocable license to:

Personal Use: Access and view course content for your personal educational purposes
Professional Application: Apply knowledge gained to your professional work
Note-Taking: Create personal notes and summaries for your own reference
Teaching Application: Use learned concepts in your own teaching or training (but not redistribute our materials)

5.3 Prohibited Uses

You may NOT:

Download videos for offline viewing (unless specifically permitted)
Share, distribute, or publicly display course content
Create derivative works from our course materials
Share screenshots, clips, or excerpts publicly
Use course materials for commercial redistribution
Sublicense, sell, or rent access to courses
Remove watermarks or proprietary notices

5.4 Content Protection

Our video content is hosted on Vimeo with content protection measures
Unauthorized recording, downloading, or distribution of course content is strictly prohibited
We actively monitor for piracy and unauthorized sharing
Violations will result in account termination and potential legal action

5.5 Trademarks

"Aicode Academy," "Aicode Studio," and associated logos are trademarks of Aicode Studio. You may not use our trademarks without prior written permission.

5.6 User Feedback

Any feedback, suggestions, or ideas you provide about our courses or platform become our property. We may use such feedback without restriction or compensation to you.

6. User Conduct and Prohibited Activities

6.1 Acceptable Use

You agree to use Aicode Academy in a lawful and respectful manner. You will not:

Violate any applicable laws or regulations
Infringe on the rights of others
Engage in fraudulent activity
Abuse, harass, or threaten other users or staff
Impersonate another person or entity
Interfere with platform security or functionality

The following activities are strictly prohibited and will result in immediate account termination:

Sharing course videos or materials publicly (YouTube, social media, file-sharing sites)
Distributing course content through peer-to-peer networks
Selling or attempting to sell course access or materials
Using automated tools (bots, scrapers) to download or access content
Circumventing content protection measures
Reverse engineering the platform or course materials

6.3 Discord Community Guidelines

If you access Discord communities associated with your courses:

You must follow Discord's Terms of Service and Community Guidelines
You must follow any specific community rules posted in the Discord server
Misconduct in Discord (harassment, spam, inappropriate content) may result in removal from the community
Serious Discord violations may result in account termination on the platform

6.4 Consequences of Violations

Violations of these Terms may result in:

Warning or temporary suspension (at our discretion)
Permanent account termination without refund
Removal from Discord communities
Legal action to enforce our rights and recover damages
Reporting to appropriate authorities for illegal activity

7. Third-Party Services

7.1 Third-Party Dependencies

Our platform integrates with third-party services:

Vimeo: Video hosting and streaming
Discord: Community forums and discussions
Stripe: Payment processing
Supabase: Data storage and authentication
Google Analytics: Usage analytics

7.2 Third-Party Terms

By using Aicode Academy, you also agree to comply with the terms of service of these third-party providers. We are not responsible for:

Third-party service outages or failures
Changes to third-party terms or pricing
Third-party data practices (see our Privacy Policy)
Content or conduct on third-party platforms

7.3 Third-Party Links

Our courses do not typically contain external links. If external resources are referenced:

We do not endorse or control third-party websites
We are not responsible for external website content
You access external sites at your own risk
Third-party sites have their own terms and privacy policies

7.4 Service Continuity

If a third-party service shuts down or becomes unavailable:

We will attempt to find alternative solutions
We are not liable for service interruptions
We may need to modify or discontinue affected features
You will not be entitled to refunds for third-party service failures

8. Disclaimers and Warranties

8.1 "As Is" Service

Aicode Academy and all courses are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

No Uptime Guarantee: We do not guarantee uninterrupted or error-free service
No Learning Outcomes: We do not guarantee specific learning results or career outcomes
No Skill Guarantees: Course completion does not guarantee employment or specific skill proficiency
No Certificates: We do not provide certificates, accreditation, or formal credentials
Technical Issues: Platform features may change, break, or become unavailable
Content Accuracy: While we strive for accuracy, we do not warrant course content is error-free or complete

8.2 No Professional Advice

Course content is for educational purposes only and does not constitute:

Professional advice (legal, financial, medical, etc.)
Guaranteed employment outcomes
Certification or formal qualification
Endorsement of specific tools or practices

8.3 Your Responsibility

You are responsible for:

Evaluating whether a course meets your needs before purchasing (no refunds)
Your own learning outcomes and skill development
Applying course knowledge appropriately in your context
Maintaining backups of your own work

8.4 EU Consumer Rights Disclaimer

While EU consumers typically have a 14-day right of withdrawal for online purchases, this right is waived when you voluntarily begin accessing digital content (Articles 16(m) and 6(1)(h) of Directive 2011/83/EU). By purchasing and accessing a course, you explicitly agree to waive this right.

9. Limitation of Liability

9.1 Maximum Liability

To the maximum extent permitted by Dutch law, our total aggregate liability for any and all claims arising from these Terms or your use of Aicode Academy shall not exceed the amount you paid for the specific course giving rise to the claim.

9.2 No Liability For

We shall not be liable for:

Service Interruptions: Platform downtime, outages, or technical failures
Third-Party Services: Failures of Vimeo, Discord, Stripe, or other integrated services
Data Loss: Loss of progress, notes, or other user data (maintain your own backups)
Learning Outcomes: Failure to achieve specific skills, jobs, or career advancement
Indirect Damages: Lost profits, lost data, business interruption, or consequential damages
Third-Party Conduct: Behavior of other users in Discord communities or elsewhere
Content Changes: Updates, corrections, or removal of course content
Access Loss: Loss of access due to archival, account termination, or platform closure

9.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded under Dutch law

9.4 Indemnification

You agree to indemnify and hold harmless Aicode Studio, its directors, employees, and affiliates from any claims, damages, or expenses (including legal fees) arising from:

Your violation of these Terms
Your violation of any law or third-party rights
Your misuse of course content
Your conduct in Discord communities

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

10.2 Jurisdiction

Any disputes arising from these Terms or your use of Aicode Academy shall be subject to the exclusive jurisdiction of the courts of the Netherlands. You agree to submit to the personal jurisdiction of these courts.

10.3 Informal Resolution

Before filing any legal action, we encourage you to contact us at aitor@aicode.studio to attempt to resolve the dispute informally. Many disputes can be resolved through good-faith communication.

10.4 No Class Actions

You agree to resolve disputes with us only on an individual basis, and not as a plaintiff or class member in any class or representative proceeding.

10.5 Time Limit for Claims

Any claim or cause of action arising from these Terms or your use of Aicode Academy must be filed within one (1) year after the claim arose, or it will be permanently barred.

11. Service Modifications and Termination

11.1 Right to Modify Services

We reserve the right to:

Modify, suspend, or discontinue any aspect of the platform at any time
Update course content, add or remove features
Change pricing for future course purchases
Archive courses (with 30 days' notice to enrolled users)

11.2 Platform Shutdown

If we decide to permanently shut down Aicode Academy:

We will provide at least 30 days' advance notice via email and platform announcements
During the notice period, we will provide a way for you to download your enrolled course materials (where technically feasible)
You will not be entitled to refunds for purchased courses
We will attempt to provide reasonable alternatives for ongoing Discord communities

11.3 Account Termination by Us

We may terminate or suspend your account at any time, with or without notice, for:

Violation of these Terms
Fraudulent activity or chargebacks
Sharing course content or account credentials
Abusive behavior toward staff or other users
Any other reason at our sole discretion

Upon termination:

You lose access to all courses immediately
You are not entitled to any refund
Your Discord community access may be revoked
You may not create a new account without our permission

11.4 Account Termination by You

You may request account deletion at any time by contacting aitor@aicode.studio. Upon deletion:

You lose access to all purchased courses (no refunds)
Your data will be deleted according to our Privacy Policy (within 30 days)
Financial records will be retained for 7 years (Dutch legal requirement)
Account deletion is permanent and cannot be undone

12. Miscellaneous Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aicode Studio regarding your use of Aicode Academy, and supersede all prior communications, understandings, and agreements.

12.2 Amendments to Terms

We may update these Terms at any time. Changes will be effective:

Immediately upon posting for non-material changes
30 days after notice for material changes affecting your rights

Your continued use after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the platform (no refunds will be provided).

12.3 Severability

If any provision of these Terms is found to be unenforceable or invalid under Dutch law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12.4 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us to be effective.

12.5 Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemic, internet failures, or third-party service outages.

12.7 Notices

All notices to you will be sent via:

Email to your registered account email address
Platform announcements or notifications
Updates to this Terms page with date notation

12.8 Language

These Terms are written in English. Translations may be provided for convenience, but in the event of any conflict or discrepancy, the English version shall prevail.

12.9 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, payment obligations, disclaimers, liability limitations, indemnification, and dispute resolution terms.
